Terms of Service

These Terms of Service (“Terms”) govern your access to and use of the Ringa AI receptionist service operated by Ringa AI Pty Ltd(ABN pending registration) (“Ringa”, “we”, “us”, or “our”). By subscribing to or using the Ringa service, you agree to be bound by these Terms.
1. Service Description
Ringa provides an AI-powered voice receptionist service(“Mia”) for Australian trade businesses. Mia is an AI, not a human. The service answers incoming calls on your behalf, collects caller information, and delivers SMS summaries to your nominated phone number. Ringa is designed for sole traders and small businesses in the Australian trades industry including plumbers, electricians, builders, and related contractors.
2. Free Trial
New customers receive a 14-day free trial when they first sign up. No payment is required during the trial period. At the end of the trial, your subscription will automatically convert to a paid plan at $299/month unless you cancel before the trial ends.
You can cancel during the trial at any time with no charge. Trial eligibility is limited to one trial per business.
3. Subscription and Billing
After your free trial, access to Ringa is provided on a monthly subscription basis at $299 per month (AUD, GST inclusive unless otherwise stated). Billing is charged monthly in advance to your nominated payment method.
- Your paid subscription begins on the day your trial ends
- You may cancel your subscription at any time; cancellation takes effect at the end of the current billing month — you keep access until then
- No partial refunds are provided for unused days in a billing period
- We reserve the right to change pricing with 30 days' written notice
- Failed payments may result in temporary suspension of service
4. Payment Processing
Payments are processed securely by Stripe(Stripe Payments Australia Pty Ltd). Ringa does not store your full card details — these are held by Stripe under their own security and compliance standards. By providing payment details, you also agree to Stripe's Terms of Service.
5. Setup and Onboarding
Upon subscribing, we will configure Mia for your business within 24 hours on business days. You will need to forward your existing business phone number to the Ringa number we provide, or use the Ringa number directly. You are responsible for managing your call forwarding settings.
6. Acceptable Use
You agree to use the Ringa service only for lawful business purposes. You must not:
- Use Ringa to conduct any illegal activity or to deceive callers in a harmful manner
- Use Mia to harass, abuse, or intimidate callers
- Attempt to reverse-engineer, disassemble, or copy any component of the service
- Use the service in a way that violates any applicable law, including the Spam Act 2003 (Cth) or the Do Not Call Register Act 2006 (Cth)
- Resell or sublicence the service to third parties without prior written consent
- Attempt to gain unauthorised access to our systems or other customers' data
7. Intellectual Property
All software, voice models, systems, and materials comprising the Ringa service are owned by Ringa AI Pty Ltd or its licensors. Your subscription grants you a limited, non-exclusive, non-transferable licence to use the service for your business purposes only. You retain ownership of your business information and call data.
8. Limitation of Liability
To the maximum extent permitted by law, Ringa's total liability to you for any claim arising out of or related to the service is limited to the fees paid by you in the three-month period immediately preceding the claim.
Ringa is not liable for: (a) any indirect, incidental, or consequential loss; (b) loss of revenue, profits, or business opportunities arising from missed or mishandled calls; (c) service interruptions caused by third-party providers or telecommunications failures; or (d) errors in call transcriptions or SMS summaries.
9. Indemnification
You agree to indemnify and hold harmless Ringa AI Pty Ltd, its officers, employees, and contractors from any claim, loss, damage, or expense (including reasonable legal fees) arising from:
- Your use of the Ringa service in breach of these Terms
- Any claim by a third party (including your callers) arising from your use of Mia
- Your failure to comply with applicable laws in your industry or jurisdiction
10. Australian Consumer Law
Nothing in these Terms excludes, restricts, or modifies any right or remedy you may have under the Australian Consumer Law (Schedule 2 to the Competition and Consumer Act 2010 (Cth)) that cannot be excluded, restricted, or modified by agreement. Where the Australian Consumer Law applies, our liability for a failure to comply with a consumer guarantee is limited to resupply of the service or payment of the cost of having the service resupplied.
11. Service Availability
We aim to provide the Ringa service 24 hours a day, 7 days a week. However, we do not guarantee uninterrupted availability. Scheduled maintenance will be communicated in advance where possible. We are not liable for any losses resulting from service downtime.
12. Termination
Either party may terminate the subscription with notice as outlined in Section 3. We may immediately suspend or terminate your account if you breach these Terms, fail to make payment, or use the service in a manner that exposes us to legal liability. Upon termination, your call data will be retained for 90 days and then permanently deleted.
13. Governing Law
These Terms are governed by the laws of the State of Victoria, Australia. Both parties agree to first attempt to resolve any dispute through good-faith negotiation before commencing formal proceedings.
14. Dispute Resolution
If a dispute cannot be resolved through good-faith negotiation within 30 days, either party may refer the matter to the Victorian Civil and Administrative Tribunal (VCAT) for disputes with a value under $100,000. For disputes above that threshold, the parties agree to submit to the exclusive jurisdiction of the courts of Victoria, Australia.
15. Changes to Terms
We may update these Terms from time to time. We will notify you of material changes by email at least 30 days before they take effect. Your continued use of the service after the effective date constitutes your acceptance of the updated Terms.
